V. SUBSCRIPTION TERMS

A. PURCHASING A SUBSCRIPTION

You are not eligible to purchase a new Subscription for Items more than thirty (30) days after the Delivery Date. Your first Subscription Payment is due when You enroll. Additional Subscription Payments are due every thirty (30) days after the enrollment date. Each successfully paid Subscription Payment purchases one future thirty (30)-day Coverage Term according to the applicable schedule below.

You may purchase a Subscription:

  1. 1. While in the retail store at the time You purchase the Items and before You take delivery or in-home possession of the Items; or
  2. 2. On or before the thirtieth (30th) day after the Delivery Date.

B. IN-STORE PURCHASE BEFORE DELIVERY

If You purchase the Subscription while in the retail store at the time You purchase the Items and before the Delivery Date:

  1. 1. Your first Subscription payment is due immediately;
  2. 2. The date of that payment is Day 1;
  3. 3. Your first Coverage Term begins on Day 31 and continues for thirty (30) days;
  4. 4. Your second Subscription payment is due on Day 31 and purchases the next Coverage Term, which begins on Day 61; and
  5. 5. Each subsequent Subscription payment is due every thirty (30) days and purchases the next consecutive thirty (30)-day Coverage Term.

Example: If Your first Subscription payment is made on January 1, Your first Coverage Term begins on January 31. Your next Subscription payment is due thirty (30) days after the January 1 payment and purchases the Coverage Term that begins immediately after the first Coverage Term expires.

C. PURCHASE WITHIN 30 DAYS AFTER DELIVERY

If You purchase the Subscription on or before the thirtieth (30th) day after the Delivery Date:

  1. 1. Your first Subscription payment is due immediately;
  2. 2. The date of that payment is Day 1;
  3. 3. Your first Coverage Term begins on Day 61 and continues for thirty (30) days;
  4. 4. Your second Subscription payment is due on Day 31 and purchases the next Coverage Term, which begins on Day 91; and
  5. 5. Each subsequent Subscription payment is due every thirty (30) days and purchases the next consecutive thirty (30)-day Coverage Term. This means that two Subscription payments must be successfully made before Your first Coverage Term begins.

Example: If You enroll and make Your first Subscription payment on January 1, Your second Subscription payment is due thirty (30) days later. Your first Coverage Term begins on Day 61. The first payment purchases the first Coverage Term, and the second payment purchases the thirty (30)-day Coverage Term that immediately follows it.

D. CONTINUING PAYMENTS AND COVERAGE TERMS

Subscription payments remain due every thirty (30) days, including during any waiting period and while You have active coverage. Each payment purchases the next consecutive thirty (30)-day Coverage Term. A payment does not purchase immediate or retroactive coverage and cannot be applied to damage that occurred before the Coverage Term purchased by that payment begins. We may attempt to charge Your payment method up to four (4) days before each scheduled payment due date. If the payment is successfully collected early, the payment still applies to its regularly scheduled future Coverage Term and does not cause that Coverage Term to begin early.

To maintain continuous coverage, each Subscription payment must be successfully made by its scheduled payment due date.

E. NO COVERAGE DURING A WAITING PERIOD

No coverage is provided before Your first Coverage Term begins. Damage, stains, breakdowns, or other events that occur before the first Coverage Term begins are not covered, even if the damage or event is not discovered or reported until after coverage begins. This Plan does not provide retroactive coverage. A payment made after coverage has lapsed does not restore coverage for any earlier period.

F. IDENTIFICATION AND ALLOCATION OF COVERED ITEMS

Your Subscription applies only to the Items identified or allocated for coverage under the Subscription, subject to the applicable Retail Limit and all other terms, conditions, limitations, and exclusions of this Plan. You may identify the Items to be covered by uploading the applicable Sales Order and selecting or otherwise designating the covered Items.

If a Sales Order is uploaded when You purchase the Subscription or when You file a Claim, but no specific Items have been identified for coverage, We will allocate coverage in the order in which the Items appear on the Sales Order. Beginning with the first Item listed, We will apply the Retail Limit to the retail price of each Item until the Retail Limit is exhausted. If the remaining Retail Limit is less than the retail price of the next Item listed, that Item will be covered only up to the remaining Retail Limit. Items appearing later on the Sales Order will not be covered after the Retail Limit has been exhausted. Once coverage has been allocated to the Items on a Sales Order, that allocation cannot be reordered, transferred, or changed to obtain coverage for a different Item or increase the coverage available for another Item.

Example: If the Sales Order lists Items with retail prices of $2,000, $2,000, and $2,000, in that order, and the Subscription has a $5,000 Retail Limit, the first and second Items will be included at their full retail prices. The third Item will be included only up to the remaining $1,000 Retail Limit.

G. UNSUCCESSFUL SUBSCRIPTION PAYMENTS

If an attempt to collect a Subscription payment is unsuccessful, We may notify You, attempt to collect the payment again, and allow You to update Your payment method before the scheduled payment due date. If the payment is successfully made by the scheduled payment due date, Your Subscription and prepaid sequence of Coverage Terms will continue without interruption.

If the payment is not successfully made by the scheduled payment due date:

  1. 1. Your Subscription will be cancelled automatically;
  2. 2. Any active Coverage Term will continue through its scheduled expiration;
  3. 3. Payments for future Coverage Terms that have not begun will be refunded, and those Coverage Terms will be cancelled;
  4. 4. If Your first Coverage Term has not begun, coverage will not begin; and
  5. 5. You must qualify for and complete the restart process described in the “CANCELLING A SUBSCRIPTION” section before obtaining new coverage.

A declined card, expired card, insufficient funds, or other unsuccessful payment attempt is not, by itself, an Improper Payment Dispute.

H. CANCELLATION, REFUNDS, RESTARTS, AND PAYMENT DISPUTES

Cancellation, refunds, unsuccessful payments, lapses in coverage, restarts, and Improper Payment Disputes are governed by the “CANCELLING A SUBSCRIPTION” section of this Plan. That section includes:

  1. 1. Your right to cancel the Subscription;
  2. 2. Continuation of an active paid Coverage Term following ordinary cancellation;
  3. 3. Refunds for payments applicable to Coverage Terms that have not begun;
  4. 4. The nonrefundable $99 Restart Fee;
  5. 5. The separate Subscription payment required to restart coverage;
  6. 6. The thirty (30)-day waiting period following an approved restart; and
  7. 7. Cancellation of Plans and discontinuation of Claims and services following an Improper Payment Dispute.

Following an approved restart:

  1. 1. The Restart Fee and first Subscription payment are due immediately;
  2. 2. The payment date is Day 1;
  3. 3. The first restarted Coverage Term begins on Day 31;
  4. 4. The next Subscription payment is due on Day 31 and purchases the Coverage Term beginning on Day 61; and
  5. 5. Later payments remain due every thirty (30) days and purchase consecutive Coverage Terms.

If any provision of this Section III conflicts with the “CANCELLING A SUBSCRIPTION” section concerning cancellation, refunds, unsuccessful payments, restarts, or payment disputes, the “CANCELLING A SUBSCRIPTION” section will control.

I. MULTIPLE SUBSCRIPTIONS

Each Subscription is separate and applies only to the Sales Order and Items assigned or allocated to that Subscription.

If You purchase multiple Subscriptions:

  1. 1. A payment made for one Subscription cannot be transferred or applied to another Subscription;
  2. 2. Coverage assigned to one Subscription cannot be transferred to another Subscription;
  3. 3. You may not use one Subscription to cover an Item assigned to another Subscription; and
  4. 4. You may not combine or stack the Retail Limits of multiple Subscriptions for the same Item or Claim.

J. COMPLIMENTARY FURNITURERX CONCIERGE REPAIR MEMBERSHIP

If You received a complimentary FurnitureRx Concierge Repair Membership with Your Subscription, the membership remains dependent upon Your Subscription. If You voluntarily cancel while a paid Coverage Term is active, the complimentary membership will continue through the expiration of that Coverage Term and will then terminate. If You cancel or fail to make a required payment before Your first Coverage Term begins, the complimentary membership will terminate when the Subscription is cancelled. If Your Plans are suspended or cancelled because of an Improper Payment Dispute, the complimentary membership will be suspended or cancelled at the same time.

The complimentary membership does not automatically resume if You later request to restart Your Subscription. It will resume only if We approve the restart and the first restarted Coverage Term begins.

VI. OBTAINING SERVICE & FILING CLAIMS

To keep this Plan affordable, You may file no more than three (3) Claims for any one Item covered under this Plan. If You attempt to file a fourth or subsequent Claim for the same Item, We may deny that Claim and, at Our sole discretion, cancel coverage for that Item. You will not be entitled to a refund because coverage for that Item was cancelled.

To file a Claim, on any web-connected device, navigate to www.5Starservice.net 24 hours a day, 7 days a week or call Us at 1-833-395-7824, Monday through Friday, 9 a.m. to 6 p.m. EST, excluding holidays or email Us at claims@raptns.com.

Only Item(s) shown on Your original Sales Receipt that You uploaded through the FurnitureRx portal or later provided to Us, and that remain in Your possession, are eligible for coverage under this Plan. Any terms stated in a Merchandise Credit are incorporated into and subordinate to these Terms and Conditions. If there is a conflict, these Terms and Conditions will control.

When filing a Claim, You must provide Your original Sales Receipt showing the Item(s) You purchased; Your Plan Confirmation Number; documentation showing the date You took delivery or in-home possession of the Item(s); all photographs and documents that We reasonably request; the date the Damage occurred, if known; the date You discovered the Damage; and any other information We reasonably request concerning the Damage.

You are required to cooperate with Our efforts to process Your Claim. Your failure to fully cooperate may result in denial of Your Claim or cancellation of Your Plan. Failure to cooperate includes, by way of example and not limitation: (a) failure to provide timely access for a service technician to inspect or repair damaged Item(s); (b) failure to timely respond to requests for additional information; (c) providing false or misleading information; or (d) repeatedly submitting Claims for the same Damage to the same Item after a Claim has been settled by Us.

We will review Your Claim and, if the Claim is covered, may, at Our option and discretion, provide one or more of the following: repair advice; products to assist You in removing stains or repairing Damage; a virtual technician visit; an in-home technician visit; replacement parts; a Merchandise Credit to replace the Item; compensation; or another remedy that We determine is appropriate under the terms of this Plan. If We replace an Item, coverage under this Plan will end for that Item and will not transfer to the replacement Item.

The value of any Merchandise Credit We issue is limited to the amount You paid for the covered Item, excluding taxes and fees. If the total cost of the replacement Item exceeds the value of the Merchandise Credit, You must pay the difference, including applicable taxes and fees, to Us or the Reseller We designate. A Merchandise Credit must be used in full in a single transaction and may not be used in part. If the purchase amount is less than the value of the Merchandise Credit, the unused balance will be forfeited. Merchandise Credits are nontransferable, may not be redeemed for cash, and expire six (6) months after the date of issuance. An expired Merchandise Credit will not be reissued, and its entire value will be forfeited. Once a Merchandise Credit is used, coverage for the Item identified in the Merchandise Credit ends, and coverage does not transfer to the replacement Item.

Other important terms, conditions, and restrictions: Matching pieces are not covered, even if the damaged Item is part of a matching set. When We replace part of an Item or an entire Item, We do not guarantee matching dye lots, colors, or textures. A difference between the replacement and the original Item or matching pieces does not entitle You to replacement of the matching pieces or to an alternative remedy under this Plan. If You rent or lease Item(s) covered by this Plan through an LTO Transaction, see the LTO Transaction Notice included in this Plan.

If We determine that Your Claim is not covered under this Plan, We may offer You For Fee Services. If You accept those services, We may coordinate repairs, order parts, or offer discounts on replacement Items, and You agree to pay all amounts due for those services upon demand. Your obligation to pay does not depend on whether the services produce the outcome You expected. If You fail to pay any amount due for For Fee Services after receiving those services, You agree to pay the reasonable attorneys’ fees and court costs We incur in attempting to collect or collecting the unpaid amount, to the extent permitted by applicable law. We may immediately discontinue any unpaid For Fee Services and may cancel Your Subscription and Plan in accordance with Section V(G). Once the cancellation becomes effective, We may discontinue service on any open Claims.

If a manufacturer’s warranty covers the Damage or Failure reported under this Plan, coverage under this Plan will not apply to that Damage or Failure. Service or replacement is limited to covered Item(s) shown on Your Sales Receipt and assigned or allocated to Your Subscription under Section III(F), subject to the applicable Retail Limit and all other limitations of this Plan. You may not transfer coverage from one Item to another Item or to another person or entity.

Note: This Plan includes exclusions to coverage, please read the Exclusions section carefully.

VII. CANCELLING A SUBSCRIPTION

A. COVERAGE TERMS AND SUBSCRIPTION PAYMENTS

Each successfully paid Subscription payment purchases one future thirty (30)-day Coverage Term. Your first Subscription payment is due when You enroll. Each subsequent Subscription payment is due thirty (30) days after the preceding payment due date. Each such date is a “Scheduled Payment Due Date.”

Your coverage schedule depends on when You purchased the Subscription:

  1. 1. In-Store Purchase Before Delivery. If You purchased the Subscription in-store when You purchased the Items and before taking delivery or in-home possession of the Items, the date Your first Subscription payment is successfully made is Day 1. Your first Coverage Term begins on Day 31. Your second Subscription payment is due on Day 31 and purchases the Coverage Term beginning on Day 61. Each subsequent payment purchases the next consecutive thirty (30)-day Coverage Term.
  2. 2. Purchase Within 30 Days After Delivery. If You purchased the Subscription on or before the thirtieth (30th) day after taking delivery or in-home possession of the Items, the date Your first Subscription payment is successfully made is Day 1. Your first Coverage Term begins on Day 61. Your second Subscription payment is due on Day 31 and purchases the Coverage Term beginning on Day 91. Each subsequent payment purchases the next consecutive thirty (30)-day Coverage Term.

Subscription payments remain due every thirty (30) days, including during an applicable waiting period. Each payment purchases the next consecutive Coverage Term in Your prepaid coverage schedule.

We may attempt to charge Your payment method up to four (4) days before a Scheduled Payment Due Date. A payment collected early applies to its regularly scheduled future Coverage Term and does not cause that Coverage Term to begin early.

B. HOW TO CANCEL

You may cancel Your Subscription at any time by contacting Us at 1-833-395-7824 or by accessing Your FurnitureRx Dashboard from any internet-connected device, selecting the “Cancel” button, and following the instructions.

Except as provided under “Improper Payment Disputes” and “If We Cancel Your Subscription and/or Plan” below, cancellation stops future Subscription payments but does not immediately terminate a Coverage Term that has already begun.

The following rules apply when You cancel:

  1. 1. Active Coverage Term. If You cancel during a Coverage Term that has already begun, the Subscription payment applicable to that Coverage Term will not be refunded. Your coverage will continue through the scheduled expiration of that Coverage Term.
  2. 2. Future Coverage Terms. If You have paid for one or more future Coverage Terms that have not begun, You will receive a full refund of each Subscription payment applicable to an unstarted Coverage Term. Those Coverage Terms will be cancelled and will not begin.
  3. 3. Cancellation During a Waiting Period. If You cancel before Your first Coverage Term begins, all Subscription payments applicable to Coverage Terms that have not begun will be refunded. Your Subscription will be cancelled, and coverage will not begin.

You will not receive a refund for a Coverage Term that has already begun, even if You did not file a Claim, a Claim You filed was not covered, or You were dissatisfied with the Plan, the outcome of a Claim, or any service provided under the Plan.

A Restart Fee is not a Subscription payment and is nonrefundable as provided below.

  1. 1. Your Subscription will be cancelled automatically;
  2. 2. Any Coverage Term that has already begun will continue through its scheduled expiration;
  3. 3. Subscription payments applicable to future Coverage Terms that have not begun will be refunded, and those Coverage Terms will be cancelled;
  4. 4. If Your first Coverage Term has not begun, coverage will not begin; and
  5. 5. You must qualify for and complete the restart process described below before obtaining new coverage.

A declined card, expired card, insufficient funds, or other unsuccessful payment attempt is not, by itself, an Improper Payment Dispute.

Once Your Subscription has been cancelled or coverage has lapsed, a later payment does not automatically renew or retroactively restore coverage. Damage, stains, breakdowns, or other events occurring during a lapse or before a new Coverage Term begins are not covered.

D. RESTARTING A CANCELLED OR LAPSED SUBSCRIPTION

Restarting a cancelled or lapsed Subscription is not available to every customer. If You remain eligible and We approve Your request, You may restart Your Subscription by paying:

  1. 1. A nonrefundable $99 Restart Fee; and
  2. 2. The regular Subscription payment for the first Coverage Term following the restart.

The Restart Fee is separate from the Subscription payment and is nonrefundable, even if You cancel before the new Coverage Term begins. The date on which both the Restart Fee and first Subscription payment are successfully made is Day 1. The first Coverage Term following the restart begins on Day 31 and continues for thirty (30) days.

The next Subscription payment is due on Day 31 and purchases the Coverage Term beginning on Day 61. Each subsequent Subscription payment remains due every thirty (30) days and purchases the next consecutive Coverage Term. If You cancel the restarted Subscription before the first restarted Coverage Term begins:

  1. 1. The $99 Restart Fee will not be refunded;
  2. 2. All Subscription payments applicable to Coverage Terms that have not begun will be refunded; and
  3. 3. The future Coverage Terms will be cancelled and will not begin.

If You cancel after a restarted Coverage Term begins, neither the Restart Fee nor the Subscription payment applicable to the active Coverage Term will be refunded. The active Coverage Term will continue through its scheduled expiration. Subscription payments applicable to later Coverage Terms that have not begun will be refunded, and those later Coverage Terms will be cancelled. Restarting Your Subscription does not restore coverage retroactively. Any damage, stain, breakdown, or other event occurring after Your previous Coverage Term expires and before Your new Coverage Term begins is not covered. This exclusion applies even if the damage or event is not discovered or reported until after the new Coverage Term begins.

E. PAYMENT QUESTIONS AND IMPROPER PAYMENT DISPUTES

You should contact Us directly if You have a question about a payment or believe We made a billing error. Contacting Us directly to ask a question or request correction of a billing error is not an Improper Payment Dispute. An “Improper Payment Dispute” occurs when You or someone acting on Your behalf disputes, reports as unauthorized, stops, reverses, or requests a chargeback of a payment that You authorized or validly owed under this Plan or another plan issued by Us. An Improper Payment Dispute may involve a Subscription payment, Restart Fee, copayment, deductible, or other required payment. A payment does not become unauthorized merely because You were dissatisfied with the outcome of a Claim, a requested service was not covered, or a service did not produce the result You expected.

If We receive notice that You disputed or reversed a payment through a credit card issuer, bank, financial institution, or payment processor, We may immediately suspend all Claims and stop all work or services under every Plan issued to You while We review the payment dispute. If We determine that the payment dispute was an Improper Payment Dispute:

  1. 1. All Plans issued to You by Us will be cancelled immediately, notwithstanding any other cancellation or notice provision;
  2. 2. Coverage under all such Plans will end on the cancellation date;
  3. 3. The Coverage Term associated with the disputed payment will be treated as never having become effective;
  4. 4. All open Claims, repairs, replacements, reimbursements, and other services will be discontinued;
  5. 5. You will remain responsible for payment for services already performed and for all other amounts You owe; and
  6. 6. You will no longer be eligible to purchase, renew, reinstate, or restart any Plan issued by Us.

A declined or unsuccessful payment is not an Improper Payment Dispute. A good-faith report involving actual payment-card theft, identity theft, or a payment-processing error that You did not cause will not be treated as an Improper Payment Dispute if You promptly cooperate with Our investigation and provide reasonably requested information.

We may reinstate Your Plans or allow You to restart Your Subscription if We determine that the dispute resulted from an honest mistake, actual fraud committed against You, or a payment-processing error.

Nothing in this section limits any right that cannot lawfully be waived under applicable law.

F. EXAMPLES

In-Store Cancellation Before Coverage Begins. If You make Your first Subscription payment in-store on Day 1, Your first Coverage Term is scheduled to begin on Day 31. If You cancel before Day 31, Your first Subscription payment will be refunded, and coverage will not begin.

Post-Delivery Cancellation Before Coverage Begins. If You enroll within thirty (30) days after delivery, Your first Coverage Term is scheduled to begin on Day 61. Your first payment is made on Day 1, and Your second payment is due on Day 31. If You make both payments and then cancel before Day 61, both payments will be refunded, and coverage will not begin.

Cancellation During an Active Coverage Term. If You cancel after a Coverage Term begins, the payment for that active Coverage Term will not be refunded. Coverage will continue through the scheduled expiration of that Coverage Term. Payments applicable to later Coverage Terms that have not begun will be refunded, and those later Coverage Terms will be cancelled.

Unsuccessful Payment Corrected by the Due Date. If an attempt to collect a scheduled Subscription payment is unsuccessful but You successfully update Your payment method and make the payment by the Scheduled Payment Due Date, Your Subscription and prepaid Coverage Terms will continue.

Unsuccessful Payment Not Corrected. If a Subscription payment is not successfully made by the Scheduled Payment Due Date, Your Subscription will be cancelled. Any active Coverage Term will continue through its scheduled expiration. Payments applicable to future Coverage Terms that have not begun will be refunded, and those Coverage Terms will be cancelled. To obtain new coverage, You must remain eligible, pay the nonrefundable $99 Restart Fee and the regular Subscription payment, and complete a new thirty (30)-day waiting period.

Improper Payment Dispute. If You authorize a payment and later dispute that payment because You are dissatisfied with the result of a Claim or service, We may immediately suspend all Claims and stop pending work while We review the dispute. If We determine that the dispute was improper, all Plans issued to You will be cancelled, and You will not be eligible to purchase, renew, reinstate, or restart them.

G. IF WE CANCEL YOUR SUBSCRIPTION AND/OR PLAN

Except for an automatic cancellation under Paragraph C, “Unsuccessful Subscription Payments,” an immediate suspension or cancellation permitted under Paragraph E, “Payment Questions and Improper Payment Disputes,” or where applicable law permits cancellation without advance notice because of fraud, material misrepresentation, or another unlawful act, We will provide You with written notice at least fifteen (15) days before the cancellation date. The notice will be sent to Your last known address and will state the effective date and reason for cancellation.

Unless otherwise required by applicable law:

  1. 1. Coverage will remain in effect until the cancellation date stated in the notice;
  2. 2. You will receive a refund of all Subscription payments applicable to Coverage Terms scheduled to begin after the cancellation date;
  3. 3. If We cancel during an active Coverage Term for a reason other than fraud, material misrepresentation, an unlawful act, or an Improper Payment Dispute, You will receive a proportional refund for the portion of that Coverage Term occurring after the cancellation date; and
  4. 4. We may deduct from any refund the cost of services, parts, repairs, replacements, reimbursements, or credits We provided or incurred before the cancellation date, to the extent permitted by applicable law.

The reasons We may suspend or cancel Your Subscription or this Plan, or void coverage for one or more Items, include but are not limited to:

  1. 1. Any fraudulent or unlawful act by You in connection with this Plan;
  2. 2. Any intentional damage to an Item;
  3. 3. Use of an Item in a manner other than intended by its manufacturer when such use is likely to increase the likelihood that the Item will be damaged or require repair, service, replacement, reimbursement, or issuance of a credit;
  4. 4. Any material misrepresentation or intentionally false or misleading statement by You in connection with the purchase, administration, or use of this Plan or any Claim; or
  5. 5. An Improper Payment Dispute as described in Paragraph E.

Paragraph E controls if a cancellation results from an Improper Payment Dispute. Nothing in this Paragraph G limits any notice, refund, or other right that cannot lawfully be waived under applicable law.

VIII. OTHER IMPORTANT TERMS

A. CO-PAY & DEDUCTIBLE: This Plan does not require a Co-Pay or Deductible.

B. LEASE TO OWN TRANSACTIONS

LTO TRANSACTION NOTICE: YOU ARE NOT REQUIRED TO PURCHASE THIS OR ANY OTHER PROTECTION PLAN OR SERVICE AGREEMENT AS A CONDITION OF ENTERING INTO AN LTO TRANSACTION.

For purposes of this Plan, an "LTO Transaction" means a transaction under which You rent or lease Item(s) as described by this Plan. Item(s) shall not be treated as part of an LTO Transaction unless the lessor is identified on Your Sales Receipt, together with Your name and the address where the Item(s) are delivered. Where Item(s) covered by this Plan are initially acquired through an LTO Transaction, and You have not obtained ownership of the Item(s), any cash settlement under this Plan will accrue to the benefit of the lessor. In all other respects, You will retain a beneficial interest in this Plan, including all non-cash benefits described herein. Subject to the terms of the LTO Transaction, the lessor may elect to apply cash settlement benefits under this Plan to Your obligations under such LTO Transaction. Any amount paid in excess of the balance due may, at the lessor's discretion and subject to the terms of the LTO Transaction, be paid to You. You are solely responsible for maintaining any Item(s) covered by this Plan, whether purchased under an LTO Transaction or otherwise.

WE ARE NOT A PARTY TO ANY LTO TRANSACTION. REFERENCE TO ANY LTO TRANSACTION UNDER THE TERMS OF THIS PLAN SHALL NOT OPERATE TO CAUSE US TO BECOME A PARTY TO THAT TRANSACTION, AND WE SPECIFICALLY DISCLAIM ANY AND ALL LIABILITY ACCRUING TO ANY PARTY UNDER ANY LTO TRANSACTION. WE ARE NOT OBLIGATED AND SHALL NOT NEGOTIATE FOR ANY THIRD-PARTY BENEFITS OR DISPUTES WHATSOEVER ARISING FROM OR RELATING TO LTO TRANSACTIONS WITH RESPECT TO ANY QUALIFIED ITEM COVERED UNDER THIS PLAN, OR ANY TRANSACTION, ACTION, OR OBLIGATION ARISING OR ACCRUING TO ANY PARTY UNDER ANY LTO TRANSACTION.

C. PLAN COVERAGE LIMIT: A MAXIMUM OF FIVE THOUSAND DOLLARS ($5,000.00 USD) OF QUALIFIED RETAIL IN TOTAL MAY BE COVERED UNDER THIS PLAN DURING THE LIFE OF THE SUBSCRIPTION. THE BEGINNING OR RENEWAL OF A NEW THIRTY (30)-DAY COVERAGE TERM DOES NOT REDUCE THE AMOUNT OF QUALIFIED RETAIL COVERED UNDER THIS PLAN.

D. LIMIT OF LIABILITY

IN NO EVENT SHALL THE TOTAL CUMULATIVE VALUE OF ALL BENEFITS PROVIDED BY US UNDER THIS PLAN, INCLUDING REPAIRS, SERVICES, PARTS, REPLACEMENTS, MERCHANDISE CREDITS, COMPENSATION, OR REIMBURSEMENTS, EXCEED THE PLAN COVERAGE LIMIT DURING THE LIFE OF THE SUBSCRIPTION. THIS CUMULATIVE LIMIT DOES NOT RESET OR RENEW WHEN A NEW THIRTY (30)-DAY COVERAGE TERM BEGINS.

IN NO EVENT SHALL WE BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER IN CONTRACT OR TORT, AT LAW OR IN EQUITY, INCLUDING LOSS OR DAMAGE TO PERSON OR PROPERTY ARISING FROM OR RELATING TO THIS PLAN, THE SALE OR PURCHASE OF THIS PLAN, OR THE USE, THE INABILITY TO USE, OR FROM THE REPAIR OR REPLACEMENT OF AN ITEM.

E. FEE SHIFTING PROVISION

If You institute or bring an action, lawsuit, or claim against Us, whether in court or in arbitration, and regardless of whether the claim is brought as a contract claim or as a statutory claim, which arises from or relates to this Plan, actions, services, goods, or performance related to this Plan, or the failure to act or perform or to provide services, or goods, and We are the prevailing party, You shall be required to pay Us our reasonable attorney's fees and costs that were incurred in the action, lawsuit, or otherwise litigating the claim.

F. CLASS ACTION WAIVER

EACH PARTY HEREBY AGREES TO WAIVE THE RIGHT TO LITIGATE IN COURT OR ARBITRATE ANY CLAIM OR DISPUTE AS A CLASS ACTION PROCEEDING, WHETHER IN CONTRACT OR TORT, AT LAW OR IN EQUITY, EITHER AS A MEMBER OF A CLASS OR AS A REPRESENTATIVE, REGARDLESS OF WHICH PARTY BRINGS SUIT, OR TO ACT AS A PRIVATE ATTORNEY GENERAL. THIS WAIVER SHALL APPLY TO ANY MATTER WHATSOEVER BETWEEN THE PARTIES (INCLUDING OUR AFFILIATES AND ASSIGNS) THAT ARISES OUT OF OR RELATES IN ANY WAY TO THIS PLAN, THE SALE OR PURCHASE OF THIS PLAN, OUR PERFORMANCE UNDER THIS PLAN, OR OUR AGENT'S PERFORMANCE UNDER THIS PLAN.

G. OUR RIGHT TO RECOVER PAYMENT

If You have a right to recover against another party for anything We have paid under this Plan, Your rights shall become Our rights. You shall do whatever is necessary to enable Us to enforce these rights. We shall recover only the excess after You are fully compensated for Your loss.

H. GUARANTY

This Plan is not an insurance policy. The obligations of the Obligor under this Plan are insured under a contract liability reimbursement insurance policy. If We fail to pay any claim, provide service, or replace the Item(s) in accordance with the terms of this Plan within ninety (90) days after We have settled a claim, You are entitled to make a direct claim against the insurer, Universal Underwriters Insurance Company, by calling 1-888-835-5063 or by mail at 7045 College Boulevard, Overland Park, Kansas 66211.

I. EXCHANGES & REPLACEMENT ITEMS

Your Subscription and coverage under this Plan are NOT transferable to Items exchanged by the manufacturer or Reseller or to replacement Items received under this Plan.

J. THIS PLAN IS NOT TRANSFERABLE, NO ASSIGNMENT OF BENEFITS

Neither this Plan, nor any of the benefits or rights accruing to You under or because of this Plan may be transferred, assigned, pledged, sold, or hypothecated by You to any person or entity. For example, and by no way limiting the generality of the foregoing sentence, You shall not transfer or assign any action, cause of action, claim, demand, lawsuit, or suit, whether in contract or tort, at law or in equity, arising from or relating to this Plan, the sale or purchase of this Plan, or the performance, non-performance, actions, or inactions by Us or Our agents under, arising from, or relating to this Plan. In the event that a court or regulatory body of competent jurisdiction determines that this provision is invalid, You agree that We shall have the exclusive and first right to purchase all of Your rights and benefits under or because of this Plan, including any potential action, cause of action, claim, demand, lawsuit, or suit, whether at law or in equity, for ten dollars ($10.00), which You acknowledge is good, adequate, valuable, and sufficient.
